Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services (collectively, the "Services") provided by QuassLabs, Inc. ("QuassLabs", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services you represent that you meet this requirement and that any information you provide is accurate and complete.

3. Use of the Services

You agree not to:

• Use the Services in violation of any applicable law or regulation.
• Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems.
• Reverse engineer, copy, or resell any part of the Services except as expressly permitted.
• Upload or transmit malicious code, or content that infringes the rights of others.

4. Engagements and Deliverables

Where we provide consulting, development, or other professional services, the specific scope, fees, timeline, and ownership of deliverables will be set out in a separate written agreement, statement of work, or order. In the event of a conflict between such an agreement and these Terms, the separate agreement controls for that engagement.

5. Intellectual Property

The Services, including all software, text, graphics, and other content we provide, are owned by QuassLabs, Inc. or our licensors and are protected by intellectual property laws. Except for rights expressly granted to you, we retain all right, title, and interest in and to the Services.

6. Fees and Payment

Fees for paid Services are described at the time of purchase or in the applicable order. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and due as invoiced. We may suspend Services for non-payment.

7. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, QuassLabs, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claim arising out of or relating to the Services will not exceed the amounts you paid to us for the Services in the twelve (12) months preceding the claim, or US $100 if no such payments were made.

9. Indemnification

You agree to indemnify and hold harmless QuassLabs, Inc. and its officers, employees, and agents from any claims, damages, or expenses arising out of your use of the Services or your violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we discontinue the Services. Provisions that by their nature should survive termination will survive.

11. Governing Law

These Terms are governed by the laws of the United States and the State of Utah, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Utah, and you consent to their jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the effective date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
